Welcome to Tario. These Terms of Service ("Terms") govern your access to and use of the website www.tario.ai, the Tario platform, and all related products, services, applications, and features (collectively, the "Services").

Please read these Terms carefully before using Tario. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

1. Overview of Tario

Tario is an AI-powered sales engagement platform that helps companies streamline lead qualification, improve response accuracy, manage sales workflows, and accelerate pipeline growth using autonomous agentic AI.

The Services may include:

• AI-driven lead screening and scoring
• Automated email outreach and sequences
• Sales pipeline insights and analytics
• CRM integrations
• Workflow automation across sales processes

2. Eligibility

By using Tario, you confirm that:

• You are at least 18 years old
• You have the authority to enter into a binding agreement
• If acting on behalf of a company, you represent that the company is duly authorised to use the Services

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, complete, and updated information
• Maintain the confidentiality of your login credentials
• Be responsible for all activities under your account
• Notify us immediately of any unauthorised access

Tario is not liable for any loss or damage resulting from your failure to secure your account.

4. Acceptable Use

You agree NOT to use Tario:

• To upload or transmit harmful, unlawful, or misleading content
• To violate any applicable law or regulation
• To conduct unauthorised scraping, data harvesting, or reverse engineering
• To interfere with system security or integrity
• To train competing AI models using output from the Services

Anti-spam and outreach compliance

When using Tario for email outreach — including automated sequences, campaigns, or direct sends — you agree that:

• You have the legal right, legitimate interest, or explicit opt-in consent to contact each recipient on your outreach list
• You will comply with all applicable laws governing commercial email and electronic communications, including CAN-SPAM, GDPR, CASL, and TCPA, as applicable to your jurisdiction and the jurisdictions of your recipients
• You will not use the platform to contact recipients who have previously opted out or unsubscribed from communications from your organisation
• Tario automatically appends a functional unsubscribe mechanism to all automated campaign emails. Bypassing, disabling, or removing this mechanism is strictly prohibited
• Tario acts as a neutral infrastructure provider. You are solely responsible for the legality of your outreach lists, the content of your communications, and compliance with all applicable anti-spam and privacy laws

We reserve the right to suspend or terminate accounts found to be in violation of these guidelines.

5. AI-Assisted Features

Tario uses AI models to generate responses, insights, recommendations, and automated actions.

You acknowledge that:

• AI-generated content may not always be accurate
• You are responsible for validating all AI-generated output before use
• Tario is not liable for decisions made based on AI-generated content
• You are solely responsible for compliance with sales outreach and privacy regulations including CAN-SPAM, GDPR, and TCPA

AI features in Tario may involve transmission of relevant data — such as lead profile information or, where you explicitly request an AI-assisted reply draft, inbound email content — to third-party language model providers. The specific providers, the data involved, and the contractual safeguards in place are described in our Privacy Policy under "AI-Assisted Features and Third-Party Language Model Providers."

6. Google API Services

Where you connect a Gmail account to Tario, your use of Google API Services is subject to Google's Terms of Service and applicable API policies.

Tario's access to and use of Gmail data is limited to providing the features you have explicitly authorised, as described in our Privacy Policy under "Google API Services — Limited Use." Specifically:

• Gmail data accessed through Google APIs is never used to train AI models
• Gmail data is never used to develop new features or improve services beyond what you have authorised
• Gmail data is never sold, rented, or transferred to third parties except as described in our Privacy Policy
• All use of Gmail data is consistent with Google's API Services User Data Policy, including its Limited Use requirements

7. Subscription and Payments

Some features require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees
• Allow automatic recurring billing unless cancelled before the renewal date
• Provide accurate and updated payment information

All payments are non-refundable except where required by law. We may modify pricing with prior written notice.

8. Trial Periods

If you participate in a free trial:

• You may access premium features for the stated duration
• After the trial period ends, charges will apply unless you cancel before expiry
• We may terminate or modify trial offerings at any time

9. Intellectual Property

All logos, content, features, and technology provided through Tario are the exclusive property of Tario Inc.

Users may:

• Access and use the Services for their own business purposes
• Not redistribute, resell, clone, or replicate the platform

Users may not claim ownership over AI-generated output beyond permitted usage rights granted under these Terms.

10. Customer Data

You retain ownership of the data you upload or import into the platform ("Customer Data").

By using Tario, you grant us a limited licence to:

• Process Customer Data to provide and improve the Services
• Use aggregated and anonymised data to refine system performance

Google user data accessed via authorised OAuth scopes is excluded from anonymised data usage and is governed solely by the Limited Use terms described in our Privacy Policy. We will never sell personal data to third parties.

Your data will be handled in accordance with our Privacy Policy.

11. Third-Party Integrations

Tario may integrate with CRMs, email providers, or external tools. You acknowledge that:

• Use of third-party services is governed by their own terms and policies
• Tario is not responsible for outages, data loss, or issues caused by third-party services

12. Service Availability

We strive to maintain high availability but do not guarantee:

• Uninterrupted service
• Error-free operation
• Perfect accuracy of AI recommendations

We may temporarily limit or suspend access for maintenance, upgrades, security reasons, or system failures.

13. Termination

We may suspend or terminate your account if:

• You violate these Terms
• You misuse the platform
• You fail to pay required fees

You may stop using the Services at any time, but subscription fees already paid will not be refunded.

Upon termination:

• Your access to the platform will be revoked
• We may delete or archive your data after a reasonable period, as described in our Privacy Policy

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-generated outputs may contain errors or omissions. Use at your own risk.

15. Limitation of Liability

To the fullest extent permitted by law, Tario and its affiliates shall not be liable for:

• Loss of profits, revenue, or business opportunities
• Loss of data
• Indirect, incidental, or consequential damages

Total liability shall not exceed the amount paid to Tario in the past 12 months.

16. Indemnification

You agree to indemnify and hold Tario harmless from any claims, losses, or damages arising out of:

• Your misuse of the Services
• Your violation of applicable laws or these Terms
• Content you upload, import, or generate through the platform
• Any outreach communications sent through the platform, including claims related to spam, unsolicited contact, or non-compliance with CAN-SPAM, GDPR, CASL, or TCPA

17. Privacy

Your use of Tario is governed by our Privacy Policy, which explains what data we collect, how it is used, how it is shared, and how it is protected. The Privacy Policy is incorporated into these Terms by reference.

18. Modifications

We may update these Terms occasionally. If changes are material, we will provide notice via email or by posting on the website. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

19. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Delaware, USA. Any disputes will be resolved in the courts located in Delaware, USA.
